This contest is open to residents of Florida, who possess a valid Florida drivers license and are 18 years of age or older. Employees of SUBWAY® restaurants, Subway Franchisee Advertising Fund Trust (SFAFT Market 017-0), Doctor’s Associates Inc., DA’s offices, Shapes Total Fitness for Women, WTSP TV, Pacific & Southern Co. Inc., Gannett Co., Inc., and each of their respective affiliated companies, subsidiaries, advertising or promotional agencies, and other agents, and the immediate family members of, and any persons domiciled with, such employees, are not eligible.

Online “Get Fit Challenge” Rules:

Male or Female contestants may Enter to be an Online Challenger by visiting 10connects.com and completing an electronic entry form. Limit of one entry per person and e-mail address. Multiple entries by means of software generated or other automated processes will be disregarded.

Pacific &Southern Co. Inc./WTSP TV (“Sponsor”), Shapes Total Fitness for Women and SUBWAY® restaurants SFAFT Market 017-0 will not be responsible for incomplete, lost, late, misdirected or illegible entries or for failure to receive entries due to transmission failures or technical failures of any kind, including, without limitation, malfunctioning of any telephone connection, network, hardware or software, whether originating with sender or Sponsor. In the event of a dispute, all online entries will be deemed to have been submitted by the owner of the account from which they were sent. For theses purposes, an account holder shall mean the natural person assigned to such account by the Internet access provider, online service provider or other organization responsible for assigning addresses for the domain associated with such account. Any questions regarding the number of entries submitted or the owner of an email account shall be determined by Sponsor in its sole discretion, and Sponsor reserves the right to disqualify any entries by persons determined to be tampering with or abusing any aspect of the Sweepstakes.

Online “Get Fit Challenge” sweepstake begins 3/2/09 and ends 8/30/09.

Every person who signs up to take the Get Fit Challenge between 3/2/09 and continuing to 8/30/09 will receive:

One Participant will be chosen at random as the Grand Prize Winner of the online “Get Fit Challenge” on or around the week of August 31, 2009.

Online Challenger Grand Prize Winner Notification and Acceptance:

The winner will be announced on Studio 10 on or around the week of August 31, 2009. Winner will also be notified by telephone and/or e-mail on or around the week of August 31, 2009. Return of prize notification as undeliverable may result in disqualification and an alternate winner may be selected. Winners may waive their right to receive prizes. No substitutions allowed.

One online Grand Prize winner of the “Get Fit Challenge” will receive the following prizes:

1. 2 VIP tickets to the Ford Amphitheater to an event to be announced, including parking and dinner for 2 at VIP Tent.

Participation.

By participating, entrants agree to be bound by these Official Rules. Sponsor reserves the right to disqualify persons found tampering with or otherwise abusing any aspect of this Contest Giveaway as solely determined by Sponsor. In the event the Giveaway is compromised by a virus, non-authorized human intervention, tampering or other causes beyond the reasonable control of Sponsor which corrupts or impairs the administration, security, fairness or proper operation of the Giveaway, Sponsor reserves the right in its sole discretion to suspend, modify or terminate the Giveaway.

Limitations of Liability.

By entering the Sweepstakes, entrant agrees that (1) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prizes awarded, shall be resolved individually without resort to any form of class action, and entrant waives his or her right to a jury trial for such disputes, claims, and causes of action; (2) any claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will any entrant be permitted to obtain any award for, and entrant hereby waives all rights to claim punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for actual out-of-pocket expenses.

Construction.

All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of any contestant and Sponsor, shall be governed by, and construed in accordance with the laws of the State of Florida, without giving effect to any choice of law or conflict of law rules or provisions (whether of Florida, or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than Florida. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. If any such provision is determined to be invalid or otherwise unenforceable, these rules shall be construed in accordance with their terms as if the valid or enforceable provision was not contained therein.
